Draft for review by a Utah attorney. Not legal advice.
Service Agreement
Version 1.0 (draft, 2026-10-17)
This agreement is between Snowpine Code LLC, a Utah limited liability company (entity 14750012-0160), Spanish Fork, Utah (“Snowpine Code”, “I”, “me”), and [CLIENT NAME], [CLIENT BUSINESS NAME] (“you”). It covers the work in quote [QUOTE NUMBER] dated [QUOTE DATE] (the “Quote”, also called the statement of work). If the Quote and this agreement disagree, the Quote wins for that project.
1. The work
I’ll build what the Quote lists under “Included” and any optional items you chose when you accepted it. Anything under “Not included” is not part of the price. The timeline in the Quote is a good-faith estimate, and it depends on getting what I need from you.
2. Price and payment
- You pay the price in the Quote. Unless the Quote says otherwise, it’s due when your site or app is live. If the Quote has a deposit, the deposit is due before I start and the rest is due at launch.
- I take Venmo Business, Zelle, or card (card through [CARD PROCESSOR], once set up). I’ll send an invoice or a payment link with the amount.
- Payment is due within [7] days of the invoice. If it’s more than [14] days late, I may pause work, and I may add a late fee of [$10 / 1% per month, whichever is less]. I’ll always text or email you first.
- Prices don’t include sales tax. If tax applies, I’ll show it on the invoice.
3. Changes
- The Quote includes [2] rounds of changes during setup. A round is one list of changes sent together.
- After that, or for anything new, I charge $50 an hour (in 15-minute steps). I’ll tell you the estimate first, and I only start with your OK in writing (a text or email is fine).
4. What I need from you
- The items in the Quote under “What I need from you” (logo, offerings, prices, policies, and so on).
- Replies within about 2 to 3 business days, so we stay on schedule.
- Helper or collaborator access to your accounts. I never ask for your passwords. You invite my email as a helper, and you can remove me any time.
- Content you send me is yours to use (photos, text, logos, music). You’re responsible for your own policies, waivers, prices and legal notices. I don’t give legal or tax advice.
5. Who owns what
- You own your accounts, your data, your content and the finished site or app I deliver. Accounts are set up in your name (your Google or Firebase account, your domain, your website plan). Once you’ve paid in full, the custom work I made for you is yours.
- I keep ownership of my reusable templates, code, tools, know-how and design patterns that I bring to the project or build for many clients. I give you a permanent, royalty-free, worldwide license to use, copy and change the parts of them in your site or app, for your business, forever. You may not resell my templates as a product.
- Open-source code and third-party services stay under their own licenses and terms.
6. Other companies’ costs
Some things are paid to other companies, like a domain (about $10 to $20 a year), a website plan, text messaging, or paid hosting if you grow. The Quote lists any I expect. You pay those companies directly, in your own name. I’m not responsible for their prices, outages or rule changes.
7. How the work gets done
I do the work with AI tools (like Claude) under my direction. I plan it, check it, test it and stand behind it the same as if I typed every line. To do that, some of your project info (like your questionnaire answers and offerings) may be processed by those tools. I don’t put your passwords, payment details or customers’ personal info into them. I don’t do calls. You get written steps and a short how-to video instead.
8. Fixes after launch
For 14 days after launch, I fix anything that doesn’t work the way the Quote describes, at no charge. After that, fixes are covered by the “Keep it running” plan if you have it, or billed at $50 an hour. This doesn’t cover problems caused by changes someone else made, or by outages or changes at other companies.
9. No guarantees of results
I build carefully, but I can’t promise more bookings, sales, revenue or a Google ranking. Other companies’ services can go down or change. Except for the 14-day fix promise above, the work is provided “as is”, and I disclaim all other warranties, including merchantability and fitness for a particular purpose, to the extent the law allows.
10. Limit on liability
My total liability for anything related to this agreement is limited to the amount you paid me for the project (plus, for a “Keep it running” plan, the last 3 months you paid). Neither of us is liable to the other for lost profits, lost data or indirect damages. This doesn’t limit liability for fraud or willful misconduct, or anything the law doesn’t allow to be limited.
11. Privacy and confidentiality
I keep your business info, your customers’ info and anything you share with me private. I only use it to do your project and support it. I don’t sell it. You do the same with my pricing and anything I mark private. I’ll show your work in my portfolio only if you say yes in the Quote or in writing.
12. Ending the work
- Either of us can end this agreement any time by text or email.
- If you end it, you pay for the work done so far at $50 an hour, never more than the Quote price. If I end it without a good reason, I refund any deposit for work not done.
- Either way, I hand over everything finished so far that you’ve paid for.
13. “Keep it running” (optional)
If you chose the monthly plan, its terms are in the “Keep it running” plan terms ([LINK]). You can cancel any time.
14. When we’re done (offboarding)
When the project or plan ends, or any time you ask:
- I send you a list of every account I touched and what’s in each one.
- I help you export your data (guest lists, customers, orders) if you want a copy.
- I remove my helper access within [5] business days and tell you when it’s done. You can also remove me yourself.
- I delete my working copies of your data, except records I must keep for taxes and business records (like this agreement, invoices and payments).
15. The rest
- I’m an independent business, not your employee. I may use other tools or helpers, and I’m responsible for their work.
- Utah law governs this agreement. Any dispute goes to the state or federal courts in Utah County, Utah. Before anything formal, we’ll both try in good faith to work it out by text or email for at least 30 days.
- This agreement and the Quote are the whole deal. Changes need to be in writing (text or email counts).
- If one part can’t be enforced, the rest still applies.
- Sections 2, 5, 9, 10, 11, 14 and 15 keep applying after the work ends.
16. Signing electronically
You agree to sign and receive this agreement, the Quote, invoices and notices electronically. Checking the box and drawing your signature on the Quote page is your signature and has the same effect as signing on paper. You can save or print a copy any time, and I’ll send you one if you ask. See the E-Sign Consent ([LINK]).
